CXO Forum Terms & Conditions
CXO FORUM COMMITMENTS:
CXO Forum commits to securing a mutually agreed number of minimum attendees for the Client at the Dinner(s) or events. CXO Forum will make the best possible efforts to ensure that the attendees will hold senior-level executive titles (VP/Director, EVP/SVP, and C-level) of applicable organizations (“End User Attendee(s)”), however additional attendees with leadership titles such as senior manager or assistant vice president may be invited on occasion. CXO Forum will endeavor to fulfill any request Client may have for attending any specific End User Delegate. The Client acknowledges that specific attendance cannot always be guaranteed. CXO Forum agrees to provide the Client with regular updates on attendee commitments prior to Dinner(s) or Events.
CLIENT COMMITMENTS:
Client agrees to pay the Net Cost of the Sponsorship pursuant to Clause 3 (Payment) set out below. Client agrees that the non-appearance of any Client Executives at the relevant Dinner will not affect its obligation to pay the total Net Cost amount. The client agrees that only pre-registered Client Executives or End User Delegates may attend each Dinner. Client agrees not to send or invite any other person to any CXO Forum event that CXO Forum has not approved beforehand to attend the event. In particular, the Client acknowledges that no Client consultant, partner, or another associate vendor executive will not be allowed to attend the Dinner without CXO Forum’s express and prior approval. Client agrees that it or its Client Executives are responsible for their travel costs and arrangements other than as expressly agreed with CXO Forum. Client agrees that it or its Client Executives are responsible for their own insurance (other than as required by law), vaccinations and visas.
PAYMENT TERMS:
The full payment will be due 30 days from the date of invoicing or three business days before the event, whichever is sooner. Payment will only be accepted in US Dollars in the following forms: Wire Transfer, ACH, or Company Check. Credit cards can be accepted along with an additional 3.5% processing fee (reflected on the invoice).
CANCELLATION POLICY:
Due to scheduling demands, we do enforce a strict cancellation policy. Once executed, we do not support cancellations of the event. If unforeseen circumstances arise, the CXO Forum will work with the sponsor to reschedule an equivalent event.
CONFIDENTIAL INFORMATION:
Each party agrees to protect the other party’s Confidential Information in a reasonable and appropriate manner. Confidential Information is any information disclosed to the recipient under circumstances that would lead a reasonable person to understand that such information is confidential or proprietary in nature except for Information that
is or becomes generally available to the public without breach by the recipient of its confidentiality obligations
is received by the recipient from a third party without restriction against disclosure
was known to the recipient without restriction before disclosure
is independently developed by the recipient without the use of the discloser’s Confidential Information
